Public Invitation No. 2 for Leasing Premises Through a Call for Bids

Pursuant to the Decision of the Executive Director of the Montenegrin Electricity Distribution System LLC Podgorica, Vladimir Čađenović, No. 10-10-43336 of 1 December 2022, the Montenegrin Electricity Distribution System LLC Podgorica hereby issues

PUBLIC INVITATION No. 2
for leasing premises through a call for bids

I-  Subject of the public invitation is the leasing of premises measuring 91.1 m2 in Building No. 1, recorded in Real Estate Register Folio No. 194, Cadastral Municipality Podgorica I, on cadastral plot No. 1265, located in the Administrative Building of the Montenegrin Electricity Distribution System LLC Podgorica, comprising a kitchen area of 18.05 m2 and a restaurant area of 73.05 m2.

II–Minimum price of the lease per month is EUR 250.00, including VAT (EUR 2.74/m² ).

III- The premises are leased for a period of 1 (one) year, with the possibility of extension.

IV- The premises are leased exclusively for catering activities, with the concept of preparing and serving food and beverages in the CEDIS Administrative Building and the Centre Substation Building (closed facility). The menu must include the following food and beverages:

The bidder must state in its bid the price for each menu item, as well as the total price of the menu.

It is prohibited to prepare food that is not on the menu. Issuing fiscal receipts is mandatory. The lessee must ensure that payment for the services in question can be made in cash, by payment card and by bank transfer (payment order). In providing these services, the lessee must employ at least 4 staff members, including at least two kitchen staff and at least two waiters/waitresses. All employees must wear uniforms. The buffet’s operating hours are 07:00 to 15:00 on all working days, except public holidays when CEDIS is closed. All electricity and water consumed for the buffet’s needs shall be borne by the Montenegrin Electricity Distribution System LLC Podgorica. The lessee is required to maintain the leased premises regularly. The lessee must dispose of waste only after working hours (after 15:00). The premises comprise a kitchen and a restaurant area, fully equipped with all the equipment and furnishings necessary to operate the buffet. The lessee must provide all small utensils and equipment needed for preparing and serving food and beverages. Serving alcohol and playing loud music are strictly prohibited. A closed-facility buffet means that food and beverages are served only in the CEDIS Administrative Building and the Centre Substation Building, and only to employees. If the lessee has a delivery vehicle, they may deliver food and beverages outside the CEDIS Administrative Building and the Centre Substation Building. Priority must be given to employees in the CEDIS Administrative Building and the Centre Substation Building. The lessee shall bear the costs of maintaining the premises and repairing equipment and furnishings. The lessee is required to obtain all documentation necessary to operate the restaurant in accordance with the applicable legislation.

Upon expiry of the lease term, the lessee must hand over the premises to the Montenegrin Electricity Distribution System LLC Podgorica in the condition in which they were viewed. The lessee must compensate for any damage caused.

V- Bids, together with proof of payment of the deposit, must be submitted in a sealed envelope to the Montenegrin Electricity Distribution System LLC Podgorica – 12 Ivana Milutinovića Street, Podgorica, marked “Call for Bids – Do Not Open”, no later than 7 April 2023 at 09:30.

The bid must contain:

-the bidder’s exact name and address,

-the offered lease price for the premises, expressed in euros including VAT, for a period of one month,

-the offered menu price (individual prices for each menu item, as well as the total menu price);

-the bank account number for refunding the deposit,

-the seal and signature of the authorised representative of the company or other legal entity, or the bidder’s signature in the case of a natural person,

As a participation guarantee, participants in the procedure must submit proof of payment of a deposit amounting to 10% of the total minimum annual rent to the account of the Montenegrin Electricity Distribution System LLC Podgorica, stating the invitation number and purpose of payment, to account No. 535-15969-90 at Prva Banka Crne Gore, or submit an unconditional bank guarantee payable on first demand.

VI- Participants in the call for bids must provide the following personal information with their bids:

– for natural persons (first and last name, residential address, personal identification number, ID card or passport number);

– for sole proprietors: registration decision, first and last name, certificate of residence, copy of the decision assigning a tax identification number (PIB) and VAT number, if registered for VAT, and a bank signature card;

– for legal entities: name and registered office, an extract from the Central Registry of Business Entities (CRPS) issued no more than three (3) months ago for domestic companies; for foreign entities, proof of registration with the competent authority in the foreign bidder’s home country (original or certified copy of the registration decision), the first and last name of the director or legal representative of the legal entity and their signature, and authorisation/power of attorney to participate in the call for bids.

All accompanying documents must be submitted in original or certified-copy form.

Each person may submit only one bid for the premises in question.

Late, incomplete and improperly prepared bids will not be considered.

If the participant submitting the most advantageous bid withdraws the bid or refuses to conclude the contract after the bids have been opened, they forfeit the right to a refund of the deposit.

If a bid is invalid or is not accepted, the deposit shall be refunded to the bidder within 30 (thirty) days of completion of the procedure.

VII- Criteria for selecting the most advantageous bid:

-highest offered lease price……………………………………… 20 points;

VIII- As a special condition, the bid must include a menu listing the detailed price of each item, as well as the total menu price, in accordance with the table above.

Lessee must not use single-use plastic products while providing services;

Lessee must be guided in their daily operations by the principles of environmental protection and preservation of the premises; any conduct to the contrary will be sanctioned in accordance with the law;

Lessee must comply with the prescribed operating hours and the Regulation on Noise Limit Values.

IX-Method and terms of payment

1. The most advantageous bidder must conclude a lease agreement with the Montenegrin Electricity Distribution System LLC Podgorica within 8 (eight) days of receiving notification. If the most advantageous bidder withdraws the bid and fails to conclude the agreement within the stipulated period, or fails to pay the rent for the premises within the stipulated period, they forfeit the right to the premises and the right to a refund of the deposit.
2. Rent shall be paid monthly in advance, by the 5th day of the month. The deposit shall be credited towards the rent payable by the bidder whose bid is accepted.

X- Conduct of the procedure

The bids will be opened on 7 April 2023, at 10:00, at the premises of the Montenegrin Electricity Distribution System LLC Podgorica – 12 Ivana Milutinovića Street, and bidders’ representatives may attend.

Participants in the procedure will be notified of the most advantageous bidder within 8 days of the procedure being conducted.
